Website terms and service arrangements

Terms & Conditions

These terms explain how this website may be used and how consultancy engagements with VC INFO SOLUTIONS SERVICES LIMITED are proposed, agreed and delivered.

01

Company information

This website is operated by VC INFO SOLUTIONS SERVICES LIMITED, a company registered in England and Wales under company number 09625461.

Registered office or company address: Banner House, 29 Byron Road, Harrow, England, HA1 1JR.

Contact email: enquiries@vcinfosolutions.services. Telephone: +44 7772522236.

In these terms, “we”, “us” and “our” refer to VC INFO SOLUTIONS SERVICES LIMITED. “You” and “your” refer to a visitor, prospective client or client, as appropriate to the context.

02

Acceptance of these terms

These terms govern the use of this website. Separate terms may apply to a specific consultancy engagement and should be read together with these website terms where relevant.

Visiting the website does not, by itself, create a consultancy contract. Submitting an enquiry form is a request for contact or further discussion and does not automatically constitute acceptance of a proposal, a confirmed booking or an obligation for either party to begin paid work.

A separate service engagement will be formed when the relevant proposal or terms have been accepted by the parties through an agreed method. The applicable agreement should identify the scope of work, fees and material delivery arrangements.

03

Use of this website

You agree to use this website lawfully and not to:

  • use the website for fraudulent, unlawful or misleading purposes;
  • attempt unauthorised access to the website, its hosting environment or related systems;
  • introduce malicious code or interfere with the availability or security of the website;
  • submit information that you know to be materially false or misleading;
  • copy, republish or commercially exploit website content except where permitted by law or with appropriate permission.

We may update, amend, suspend or remove website content where reasonably necessary. We do not guarantee that the website will always be available without interruption or that every item of information will remain unchanged.

Website content is provided for general information. It is not a substitute for a written proposal or a contract describing the requirements of a particular consultancy engagement.

04

Consultancy services

Our services may include IT requirements gathering and systems analysis, technology planning, software and infrastructure advisory, digital workflow review, systems upgrade planning and related consultancy support where agreed.

The services available for a particular project will depend on the requirements discussed, the information supplied, the agreed scope and our written confirmation of the engagement.

Unless expressly included in an agreed proposal, a consultancy engagement does not automatically include software development, system installation, data migration, procurement, ongoing technical support, system monitoring, maintenance or the work of third-party implementation providers.

Any recommendations will be based on the scope of the engagement and information reasonably available at the time. We do not guarantee a particular commercial, technical or operational outcome unless a specific commitment is expressly agreed in writing and is legally enforceable.

05

Proposals and formation of a service contract

Following an enquiry, we may request further details and, where appropriate, provide a proposal or other written description of the proposed work. A proposal may specify:

  • the objectives and scope of the consultancy;
  • the activities, deliverables and exclusions;
  • the proposed schedule or milestones, where ascertainable;
  • the fees, payment stages and any agreed expenses;
  • the information, access and cooperation required from you;
  • any additional terms relevant to the engagement.

A proposal is subject to the acceptance method and any validity period stated in that proposal. No work should be treated as confirmed until the relevant agreement has been accepted and any stated prerequisites have been satisfied.

If a written project agreement conflicts with these general terms in relation to that project, the project-specific terms will take precedence to the extent of the conflict, unless the agreement states otherwise or mandatory law requires a different result.

06

Client responsibilities

You agree, where relevant to the engagement, to:

  • provide complete and accurate information to the best of your knowledge;
  • identify the objectives, priorities and constraints that may affect the work;
  • provide access, permissions and approvals that are your responsibility;
  • ensure that you are entitled to share any information, files or materials supplied to us;
  • review requests, drafts or deliverables and provide feedback within agreed periods;
  • notify us of material changes to your requirements or operating environment;
  • maintain appropriate responsibility for your own systems, credentials, backups and business decisions unless a specific responsibility has been agreed in writing.

If required information, access or decisions are delayed, the delivery schedule may need to be revised. We will discuss material effects on the engagement where reasonably practicable.

07

Fees, invoices and payment

The fees for a consultancy engagement will be communicated before the engagement is confirmed. The applicable proposal or agreement will state the pricing basis and payment terms, including any deposit, milestone payment, recurring charge or expense where relevant.

You are responsible for paying valid invoices by the due date stated in the relevant agreement or invoice, subject to any applicable legal rights. If you dispute an invoice, please contact us promptly and explain the amount and basis of the dispute.

Additional work outside the agreed scope may involve additional fees. We will seek agreement on material scope and fee changes before proceeding with that additional work, except where a different arrangement has been validly agreed.

Any applicable taxes will be addressed in the quotation or invoice in accordance with the relevant legal requirements. We will not treat a payment as due merely because an enquiry form has been submitted.

08

Delivery, timing and changes

We will carry out agreed work in accordance with the applicable proposal or service agreement and any mandatory legal standards. Where a schedule or target date is agreed, it will be based on the assumptions and dependencies identified for the engagement.

Delivery may depend on timely information, client approvals, third-party systems or other factors outside our reasonable control. If a material change or delay arises, we will discuss the implications and any appropriate revised arrangements where reasonably practicable.

Changes to scope, deliverables or priorities should be agreed in writing where appropriate. A requested change may affect the fee, schedule or resources required.

Deliverables will be supplied in the form and by the method agreed for the engagement. If no specific review period is stated in the agreement, please raise any questions about a deliverable within a reasonable time after receiving it.

09

Cancellation, termination and refunds

If you wish to cancel or change an agreed engagement, please contact us in writing using the company email address. The effect of cancellation will depend on the applicable agreement, the work already performed and any statutory rights that apply.

Where a consumer has a statutory right to cancel a distance or off-premises service contract, that right will be respected in accordance with applicable law. For relevant contracts, the statutory cancellation period is generally 14 days from the date the contract is entered into, subject to the applicable rules and exceptions.

If a consumer asks for services to begin during a statutory cancellation period, any required consent, acknowledgement and payment for services already supplied will be handled in accordance with the applicable legal requirements.

Where a refund is due, we will calculate and process it in accordance with the applicable agreement and legal requirements. No term in these conditions is intended to remove a right to a refund or other remedy that the law requires us to provide.

For the detailed procedure, please see our Service Cancellation Policy.

10

Intellectual property

Unless otherwise stated, the content published on this website, including text, layout, graphics and other materials, is owned by us or used with permission. You may access and use the content for personal or internal business reference, but you must not reproduce or commercially exploit it without the relevant permission, except where permitted by law.

Ownership and permitted use of project-specific reports, recommendations, documents, designs or other deliverables will be determined by the applicable service agreement.

Unless a written agreement states otherwise, each party retains ownership of intellectual property it owned or developed independently before the engagement. Any licence or transfer relating to project deliverables should be expressly set out in the relevant agreement.

You must ensure that materials you provide to us may lawfully be used for the agreed purpose. You remain responsible for obtaining any rights or permissions required for materials supplied by you.

11

Confidentiality and personal information

Each party should take reasonable care when handling confidential information received from the other in connection with a consultancy engagement. Information identified as confidential, or which should reasonably be understood to be confidential in context, should not be disclosed except as permitted by the relevant agreement or applicable law.

Confidentiality obligations do not normally apply to information that is already lawfully public, was lawfully known without a duty of confidence, is independently developed, or must be disclosed under a legal obligation.

Personal information submitted through this website or during an engagement will be handled in accordance with our Privacy Policy. Information about cookies and similar technologies is available in our Cookie Policy.

Please do not submit passwords, unnecessary sensitive information or confidential system credentials through a general enquiry form. Where access to systems is required for an agreed engagement, the appropriate method should be agreed separately.

12

Third-party products and services

A consultancy engagement may involve discussion of third-party software, cloud services, hardware, hosting or other technology options. Unless expressly agreed in writing, we do not act as the manufacturer, publisher or operator of those independent products or services.

Third-party products may be subject to their own licence terms, service conditions, availability, fees, security arrangements and support policies. You should review those terms and assess suitability for your own needs before making a purchasing or implementation decision.

We are not responsible for independent third-party acts or omissions merely because a product or service has been discussed during consultancy. This provision does not exclude liability that we may have under an express agreement or applicable law.

13

Liability and legal limitations

We will perform agreed consultancy services with the standard of care and skill required by the applicable contract and law. Nothing in these terms excludes any statutory protection that applies to a consumer.

To the extent permitted by law, we are not responsible for loss arising solely from inaccurate or incomplete information supplied by a client, a decision made by a client without regard to relevant advice, or an independent third party’s acts or omissions, except where our own contractual or legal responsibilities apply.

Consultancy recommendations support decision-making; they do not automatically constitute a guarantee of a particular business result, uninterrupted system operation, compatibility with every environment or the performance of third-party products.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any consumer rights or remedies that cannot lawfully be excluded.

Any other limitation of liability must be expressly stated in the applicable service agreement and must be valid under the law governing that agreement. These website terms do not impose an unspecified monetary cap on liability.

14

Suspension and termination

An engagement may be suspended or terminated in accordance with its agreed terms, including where there is a material breach that remains unresolved after any applicable notice or remedy period, or where continuation becomes unlawful or impracticable.

Where reasonably practicable, the parties should communicate the reason for suspension or termination and the practical steps required to close the engagement. Any outstanding fees, deliverables, refunds and return or deletion of information will be addressed under the applicable agreement and legal requirements.

Ending an engagement does not remove rights or obligations that have already accrued or that are intended to continue, including applicable confidentiality, payment, intellectual property and dispute provisions.

15

Complaints and dispute resolution

If you are dissatisfied with our service, communication, deliverables or handling of an engagement, please contact us with details of the issue and the outcome you would like us to consider.

We will review the matter in accordance with our Complaints Policy. Where a dispute cannot be resolved through direct communication, the parties may consider appropriate independent advice or legal remedies.

Nothing in these terms prevents a consumer from exercising a statutory right, bringing a claim before a competent court or using a legally applicable complaint or dispute resolution route.

16

Governing law and general provisions

These website terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, subject to any mandatory legal protections that apply to a consumer in their country of residence.

The courts of England and Wales will have jurisdiction to the extent permitted by applicable law. This provision does not remove any mandatory right a consumer may have to bring proceedings in another competent court.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in exercising a right does not automatically amount to a waiver of that right. Any amendment to a specific service agreement should be recorded and accepted by the relevant parties.

We may update these website terms from time to time. The current version published on this page applies to website use from the time it is published. Changes to an existing service contract will be handled in accordance with that contract and applicable law; a website update does not automatically rewrite an existing agreement.
